Terms and Conditions

1. Definitions and Interpretation

In these Terms and Conditions ("Agreement"), the following definitions apply unless the context requires otherwise:

"Client" means the person, company, or organisation entering into this Agreement with SIGNALMD LTD for the provision of Services.

"Company" or "Provider" means SIGNALMD LTD, a company registered in England and Wales, with its registered office at 124-128 City Road, London, EC1V 2NX, United Kingdom.

"Confidential Information" means all information disclosed by either party to the other, whether orally, in writing, or in electronic form, that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information and circumstances of disclosure.

"Deliverables" means all work product, software, documentation, reports, configurations, and other materials created or provided by the Company in the course of delivering Services.

"Force Majeure Event" means any event beyond the reasonable control of a party including but not limited to acts of God, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, pandemics, strikes, or shortages of transportation, facilities, fuel, energy, labour, or materials.

"Intellectual Property Rights" means all patents, copyrights, trademarks, trade secrets, database rights, design rights, and all other intellectual property rights whether registered or unregistered and all applications for the same.

"Personal Data" has the meaning given in the UK General Data Protection Regulation and Data Protection Act 2018.

"Services" means the e-commerce platform development, cloud hosting, DevOps solutions, data processing, cybersecurity, system integration, enterprise software development, managed IT services, and IT consulting services provided by the Company as specified in the applicable Statement of Work or Service Agreement.

"Statement of Work" or "SOW" means a document specifying the scope, deliverables, timeline, fees, and other terms for a specific engagement.

"SLA" means the Service Level Agreement applicable to managed services as specified in the relevant SOW.

2. Agreement Structure

This Agreement comprises these Terms and Conditions together with any applicable Statement of Work, Service Level Agreement, Data Processing Agreement, and other schedules or addenda agreed in writing between the Client and SIGNALMD LTD.

In the event of conflict between these Terms and Conditions and a Statement of Work, the Statement of Work shall prevail to the extent of the conflict for matters specifically addressed therein.

These Terms and Conditions apply to all Services provided by the Company unless expressly superseded by a separately negotiated master services agreement signed by both parties.

No terms or conditions contained in any Client purchase order, procurement portal, or other Client document shall apply to the Services unless expressly accepted in writing by the Company.

3. Services

SIGNALMD LTD shall provide the Services described in the applicable Statement of Work with reasonable skill and care in accordance with industry standards for computer systems design, cloud hosting, data processing, and related professional services.

The scope of Services is defined exclusively in the Statement of Work. Any work outside the defined scope constitutes a change request subject to Section 12 (Change Management).

The Company shall assign qualified personnel with appropriate skills and experience to deliver the Services. Key personnel may be identified in the Statement of Work.

The Client shall provide timely access to information, systems, personnel, and facilities reasonably required for the Company to deliver the Services.

The Client shall designate a primary point of contact with authority to make decisions regarding the Services and approve deliverables.

4. Fees and Payment

Fees for Services are as specified in the Statement of Work. Unless otherwise stated, all fees are exclusive of VAT and applicable taxes.

Invoices are payable within thirty days of the invoice date unless a different payment term is specified in the Statement of Work.

Late payments shall accrue interest at the rate of four percent above the Bank of England base rate per annum, calculated daily from the due date until payment is received.

The Company may suspend Services if payment is overdue by more than fourteen days following written notice to the Client.

All fees are non-refundable except as expressly provided in this Agreement or required by applicable law.

The Company reserves the right to revise fees for recurring managed services upon sixty days written notice to the Client.

5. Service Level Agreement

For managed services including cloud hosting, DevOps, and ongoing IT support, the applicable SLA is as specified in the Statement of Work.

Standard uptime commitment for managed hosting services is 99.9% measured monthly, excluding scheduled maintenance windows and Force Majeure Events.

Scheduled maintenance shall be notified at least forty-eight hours in advance and conducted during agreed maintenance windows where practicable.

Service credits for SLA breaches shall be as specified in the applicable SLA schedule. Service credits are the Client's sole remedy for SLA failures.

Critical incident response times for managed service clients are as specified in the SLA, with initial response within one hour for priority one incidents.

6. Client Obligations

The Client shall provide accurate and complete information necessary for the delivery of Services.

The Client shall ensure that all data, content, and materials provided to the Company do not infringe third-party intellectual property rights or violate applicable laws.

The Client shall maintain appropriate backups of their data unless backup services are included in the Statement of Work.

The Client shall comply with all applicable laws and regulations in their use of the Services and Deliverables.

The Client shall not use the Services for any unlawful purpose including but not limited to distributing malware, conducting unauthorised access, or processing personal data in violation of data protection law.

The Client shall promptly notify the Company of any security incidents or suspected breaches affecting systems under the Company's management.

7. Intellectual Property

All pre-existing Intellectual Property Rights of each party shall remain the property of that party.

Upon full payment of all fees, the Client shall receive a non-exclusive, perpetual, royalty-free licence to use Deliverables created specifically for the Client under the Statement of Work for the Client's internal business purposes.

Custom software developed under a Statement of Work shall be owned by the Client upon full payment, subject to the Company's retention of rights in underlying frameworks, libraries, tools, and methodologies.

The Company retains all Intellectual Property Rights in its proprietary tools, frameworks, methodologies, and general knowledge gained during the provision of Services.

The Client grants the Company a licence to use Client materials and data solely for the purpose of delivering the Services.

Either party may reference the other party's name and the general nature of the engagement in marketing materials and case studies unless the Client opts out in writing.

8. Confidentiality

Each party shall maintain the confidentiality of the other party's Confidential Information and shall not disclose it to any third party without prior written consent.

Confidential Information may be disclosed to employees, contractors, and advisers who need to know and are bound by equivalent confidentiality obligations.

Confidentiality obligations do not apply to information that is publicly available through no fault of the receiving party, was already known to the receiving party, is independently developed, or is required to be disclosed by law or court order.

Confidentiality obligations survive termination of this Agreement for a period of five years.

9. Data Protection

Where the Company processes Personal Data on behalf of the Client, the parties shall enter into a Data Processing Agreement compliant with UK GDPR requirements.

The Client is the data controller and the Company is the data processor for Personal Data processed in the course of delivering Services.

The Company shall process Personal Data only on documented instructions from the Client and shall implement appropriate technical and organisational security measures.

The Company shall assist the Client in fulfilling data subject rights requests and data protection impact assessments where applicable.

The Company shall notify the Client without undue delay upon becoming aware of a Personal Data breach affecting Client data.

Upon termination, the Company shall delete or return Personal Data as instructed by the Client, subject to legal retention requirements.

10. Warranties

The Company warrants that Services will be performed with reasonable skill and care by appropriately qualified personnel.

The Company warrants that Deliverables will materially conform to specifications in the Statement of Work for a period of ninety days following delivery.

The Client's exclusive remedy for breach of warranty is re-performance of the deficient Services or correction of non-conforming Deliverables at the Company's expense.

Except as expressly stated, all Services and Deliverables are provided "as is" without any other warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement.

The Company does not warrant uninterrupted or error-free operation of hosted services but commits to SLA performance as specified.

11. Limitation of Liability

Neither party shall be liable to the other for any indirect, incidental, special, consequential, or punitive damages including loss of profits, revenue, data, or business opportunity.

The Company's total aggregate liability under this Agreement shall not exceed the total fees paid by the Client in the twelve months preceding the claim.

Nothing in this Agreement limits liability for death or personal injury caused by negligence, fraud, or any liability that cannot be limited by applicable law.

The Client acknowledges that the fees reflect the allocation of risk set out in this Agreement.

12. Change Management

Either party may request changes to the scope of Services by submitting a written change request.

The Company shall assess the impact on timeline, fees, and resources and provide a change order for Client approval before implementing changes.

No change shall be implemented until the change order is approved in writing by both parties.

Emergency changes required to address critical security vulnerabilities or service outages may be implemented immediately with subsequent documentation.

13. Term and Termination

This Agreement commences on the date of the Statement of Work and continues until completion of the Services or termination in accordance with this section.

For ongoing managed services, the initial term is twelve months with automatic renewal for successive twelve-month periods unless either party provides ninety days written notice of non-renewal.

Either party may terminate for material breach if the breach is not remedied within thirty days of written notice specifying the breach.

Either party may terminate immediately if the other party becomes insolvent, enters administration, or ceases to carry on business.

Upon termination, the Client shall pay all fees for Services performed up to the termination date.

Upon termination, the Company shall deliver completed work and return Client materials within thirty days.

Sections relating to confidentiality, intellectual property, limitation of liability, and governing law survive termination.

14. Force Majeure

Neither party shall be liable for failure to perform obligations due to a Force Majeure Event, provided the affected party notifies the other promptly and uses reasonable efforts to mitigate the impact.

If a Force Majeure Event continues for more than sixty days, either party may terminate the affected Services upon written notice.

15. Non-Solicitation

During the term and for twelve months thereafter, neither party shall directly solicit for employment any employee of the other party who was involved in delivering or receiving the Services, without prior written consent.

16. Subcontracting

The Company may subcontract portions of the Services to qualified third parties provided the Company remains responsible for the performance of subcontracted Services and ensures equivalent confidentiality and data protection obligations.

The Client shall be notified of material subcontractors processing Personal Data.

17. Insurance

The Company shall maintain professional indemnity insurance and public liability insurance with reputable insurers throughout the term of this Agreement.

Certificates of insurance shall be provided upon request.

18. Dispute Resolution

The parties shall attempt to resolve disputes through good faith negotiation between senior representatives.

If negotiation fails within thirty days, the parties may agree to mediation before pursuing litigation.

Nothing prevents either party from seeking injunctive relief for breaches of confidentiality or intellectual property.

19. Governing Law and Jurisdiction

This Agreement is governed by the laws of England and Wales.

The courts of England and Wales shall have exclusive jurisdiction over disputes arising from this Agreement.

20. General Provisions

This Agreement constitutes the entire agreement between the parties regarding the Services and supersedes all prior agreements and understandings.

Amendments must be in writing and signed by authorised representatives of both parties.

If any provision is found invalid or unenforceable, the remaining provisions continue in full force.

Neither party may assign this Agreement without the other's written consent, except the Company may assign to an affiliate or in connection with a corporate transaction.

Notices shall be in writing and sent to the addresses specified in the Statement of Work or to office@signalmd.pro.

Failure to enforce any provision does not constitute a waiver of that provision.

This Agreement may be executed in counterparts.

22. Cloud Hosting Specific Terms

Where the Services include cloud hosting, the Company shall provide computing infrastructure on a shared or dedicated basis as specified in the Statement of Work. The Client is responsible for content hosted on allocated infrastructure unless content management is included in the Services. The Company reserves the right to suspend hosting for violation of acceptable use policies, non-payment, or legal requirements. Resource allocation, bandwidth, storage, and compute limits are as specified in the SOW. Excess usage may incur additional charges at published rates.

23. E-Commerce Platform Terms

E-commerce platform development Services include design, development, testing, and deployment as specified in the SOW. The Client is responsible for product content, pricing, tax compliance, and payment gateway merchant agreements unless expressly included. Third-party platform fees, payment processing charges, and SSL certificate costs are the Client's responsibility unless stated otherwise. Post-launch support periods are as specified in the SOW.

24. Data Processing Terms

Data processing Services are governed by the Data Processing Agreement. The Client warrants lawful basis for all Personal Data provided for processing. The Company implements encryption, access controls, and monitoring as specified in the DPA. Data location options include UK-only processing where required. Data export and portability assistance is available upon request subject to applicable fees.

25. Cybersecurity Services Terms

Cybersecurity Services include assessment, implementation, and monitoring as specified in the SOW. The Company does not guarantee prevention of all security incidents. Recommendations must be implemented by the Client to be effective. Penetration testing requires explicit authorisation. Incident response Services are available under separate SLA terms for managed clients.

26. Backup and Disaster Recovery

Backup Services include automated backup scheduling, encrypted storage, and restoration testing as specified in the SOW. Recovery Time Objective and Recovery Point Objective targets are as documented in the SLA. The Client must verify backup adequacy for their compliance requirements. Restoration testing is conducted quarterly for managed backup clients.

27. Acceptable Use Policy

The Client shall not use Services to transmit unlawful content, infringe intellectual property, distribute spam, conduct denial of service attacks, mine cryptocurrency without authorisation, or violate third-party terms of service. Violation may result in immediate suspension and termination.

28. Audit Rights

The Client may audit the Company's compliance with data protection obligations upon thirty days notice, no more than once per year, during normal business hours. Audits must not unreasonably interfere with operations. The Company may provide third-party audit reports in lieu of on-site audits.

29. Export Compliance

The Client shall comply with all applicable export control laws. The Company shall not provide Services to sanctioned entities or jurisdictions prohibited by UK law.

30. Accessibility

The Company shall use reasonable efforts to ensure Deliverables meet WCAG 2.1 Level AA standards where web accessibility is included in the SOW scope.

31. Project Management and Reporting

The Company shall provide project management for all fixed-scope engagements including regular status reporting, milestone tracking, and risk identification.

Status reports shall be provided at intervals specified in the SOW, typically weekly for active development projects and monthly for managed services.

The Client shall review and approve milestones within five business days. Deemed approval applies if no response is received within ten business days with prior notification.

Project documentation including architecture diagrams, configuration records, and operational runbooks shall be delivered as specified in the SOW.

32. Testing and Acceptance

The Company shall conduct testing in accordance with the test plan specified in the SOW before delivering milestones for Client acceptance.

Acceptance testing periods are fourteen business days from delivery notification unless otherwise specified.

The Client shall provide written acceptance or detailed rejection specifying non-conformities within the acceptance period.

Non-conformities shall be remedied and re-delivered within a reasonable timeframe. The acceptance period restarts for re-delivered items.

33. Escalation Procedures

Service issues shall be reported through designated support channels specified in the SOW.

Priority one incidents affecting production systems receive immediate escalation to senior engineering staff.

Priority two incidents affecting non-critical functions receive response within four business hours.

Priority three requests for information or minor issues receive response within one business day.

Escalation contacts and procedures are documented in the SLA for managed service clients.

34. Business Continuity

The Company maintains business continuity plans for critical service delivery functions.

Disaster recovery procedures for managed hosting clients are tested annually.

The Company shall notify Clients of any event affecting service delivery beyond scheduled maintenance within the timeframes specified in the SLA.

35. Compliance and Certifications

The Company maintains compliance with applicable data protection legislation and industry security standards.

SOC 2 preparation support is available as a separate service engagement.

Compliance documentation is available to Clients upon request subject to confidentiality obligations.

Service Delivery Standards — Supplement 1

All SIGNALMD LTD service delivery follows documented quality standards including code review requirements, security scanning, performance benchmarking, and documentation standards. Senior engineers review all deliverables before Client presentation. Continuous improvement processes incorporate Client feedback and industry developments.

Response time commitments vary by service tier and are documented in applicable SLAs. SIGNALMD LTD assigns dedicated account management for enterprise clients.

These supplemental provisions form part of the Agreement between the Client and SIGNALMD LTD and should be read in conjunction with the applicable Statement of Work, Service Level Agreement, and Data Processing Agreement. Development, staging, and production environments follow separation principles. Configuration management ensures reproducible deployments. Version control, automated testing, and deployment pipelines are standard for software development engagements. Infrastructure as code practices apply to cloud hosting implementations.

These supplemental provisions form part of the Agreement between the Client and SIGNALMD LTD and should be read in conjunction with the applicable Statement of Work, Service Level Agreement, and Data Processing Agreement.
